- Corporate Transactions (M&A Focus): Provide project management and support for complex corporate transactions including M&A, financing rounds, and strategic transactions. Responsibilities include due diligence coordination, document management, and closing preparations, including coordinating pre-closing and post-closing matters. Prior experience in U.S. M&A transactions is highly preferred and candidates must be able to demonstrate structured, methodological thinking in this area.
- Governance: Support routine and complex corporate governance across all subsidiaries, including maintaining entity records, managing board materials and minute books, and assisting with regulatory filings. Maintain corporate records, including board resolutions, meeting minutes, and other governance documents.
- Corporate Records: Routine maintenance of corporate records and legal files, including shareholder records, intellectual property, and similar, with calendaring deadlines as an important element.
- Reporting & Data Management: Gather and assemble data for presentations, dashboards, and ad hoc reporting. Develop solutions for automation of data collection. Reporting will cover areas such as legal spend, compliance, and risk. Strong Excel and reporting skills are required.
- Stakeholder Alignment & Customer Service: Provide a high level of customer service to internal stakeholders. Balance responsiveness with legal compliance, setting clear expectations and timelines for deliverables.
- Process Improvement: Identify, build, and maintain scalable corporate operations processes, with emphasis on documentation, reporting, and audit trails.
- Other Duties: Exposure to a wide range of legal and operational matters, requiring adaptability and independent problem-solving.
- 3+ years of experience in a corporate law department or law office, with direct exposure to corporate transactions and governance.
- Prior M&A experience strongly preferred; candidates without direct M&A must demonstrate proven methodological rigor and structured thinking.
- Strong analytical and problem-solving skills, including ability to assess complex situations and design independent workflows.
- Proficiency in Excel and ability to build dashboards and trackers; PowerPoint presentation skills.
- Experience in governance record-keeping and corporate filings.
- Excellent organizational and communication skills, with ability to manage multiple deliverables in a fast-paced environment.
- Demonstrated ability to work independently, exercise discretion, and proactively improve processes.
