Our client is seeking a highly skilled and experienced Senior Legal Counsel to provide key support functions to operations. This role offers the opportunity to work closely with the Legal Transactions, and engage in a variety of responsibilities including corporate housekeeping, contract drafting and negotiation, policy review, legal advisory, and special corporate projects. The successful candidate will have the chance to collaborate with counterparts across the APAC region, ensuring that all special corporate projects are supported and completed efficiently.

What you'll do:As a Senior Legal Counsel, you will play an integral role in our client's operations within the Philippine operations. You will be responsible for providing comprehensive legal support, conducting legal research on various business opportunities. Your expertise in contract drafting, negotiation, review, and status monitoring will be crucial in ensuring that all commercial contracts are executed according to applicable processes and policies. Furthermore, your ability to conduct legal due diligence review will contribute significantly towards our client's business development efforts.

Prepare and review draft minutes of board meetings, Board resolutions and Secretary's certificates
Draft, review and negotiate a variety of commercial contracts as endorsed by the Procurement Team
Supervise the Legal Counsel or Legal Specialist/s in ensuring contracts are reviewed, negotiated and executed in accordance with applicable processes and policies
Conduct legal and due diligence reviews for philippines prior to sourcing external counsel
Render opinions or provide research on matters involving business opportunities and their contracts
Highlight issues and concerns and render legal opinions to queries posed by internal stakeholders concerning rulings and regulations of government agencies

What you bring:The ideal candidate for this Senior Legal Counsel position brings a wealth of experience from either a law firm setting or as an in-house counsel at a multinational company. With a Bachelor of Laws degree and a passed Bar Examination, you have the necessary qualifications to excel in this role. Your strong knowledge of corporate regulations and commercial contracts, coupled with your excellent negotiation skills, will be key in ensuring that all legal matters are handled efficiently and effectively. Furthermore, your ability to conduct comprehensive legal research and due diligence reviews will be crucial in supporting our client's business development efforts within the APAC region.

Bachelor of Laws (or similar degree) graduate
Passed Bar Examination (Law licensure examination)
6 to 8 years experience, preferably in a law firm setting or in-house counsel at a multinational company
Strong knowledge of corporate regulations and commercial contracts
Excellent negotiation skills
Ability to conduct comprehensive legal research
Experience in conducting legal due diligence reviews
